Non-Compete and Confidentiality Covenant (NCCC)

Effective Date: April 2024 And Forward

 

This Non-Compete and Confidentiality Covenant ("Covenant") is made and entered into by and between Kevin MacPhee, hereinafter referred to as "Nxexus™," and [Those Viewing], hereinafter referred to as "The User."

 

1. Non-Compete Obligations

During the term of this Covenant and for a period of [insert duration, e.g., two (2) years] thereafter,

The User agrees not to engage, copy, utilize intent and or directly or indirectly integrate in any business or activity that competes or copies the products or services created or developed by Nxexus™.

 

2. Confidentiality Obligations

The User agrees to:

Maintain strict confidentiality and not disclose any Confidential Information to any third party.

Use the Confidential Information solely for the purpose of [purpose of disclosure, e.g., evaluating a potential partnership with Nxexus™].

 

Take all necessary precautions to prevent unauthorized disclosure of the Confidential Information.

 

3. Non-Solicitation

The User agrees not to solicit or hire, directly or indirectly, any employees or contractors of Nxexus™ during the term of this Covenant and for a period of [ one (1) year] thereafter.

 

4. Governing Law

This Covenant shall be governed by and construed in accordance with the Governing Laws based on Locations of the User

 

 

 Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is made and entered into by and between Kevin MacPhee, hereinafter referred to as "Nxexus™," and [Those Viewing], hereinafter referred to as "The User."

 

1. Definition of Confidential Information

Confidential Information includes, but is not limited to, proprietary technology, business strategies, financial information, intellectual property, and any information marked as confidential or disclosed in a manner indicating its confidential nature.

 

2. Obligations of The User

The User agrees to:

Maintain strict confidentiality and not disclose any Confidential Information to any third party.

Use the Confidential Information solely for the purpose of [purpose of disclosure, e.g., evaluating a potential partnership with Nxexus™].

Take all necessary precautions to prevent unauthorized disclosure of the Confidential Information.

 

3. Duration of Confidentiality Obligations

The obligations of confidentiality under this Agreement shall remain in effect for a period of [insert duration, e.g., two (2) years] from the date of disclosure or for as long as the Confidential Information remains confidential, whichever is longer.

 

4. Non-Disclosure Exception

The obligations of confidentiality shall not apply to information that:

Is or becomes publicly available through no fault of The User.

Is independently developed by The User without use of or reference to the Confidential Information.

Is disclosed to The User by a third party legally entitled to disclose such information.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the Governing Laws based on Locations of the User
